The Board retains ultimate accountability while delegated authority and operational ownership are documented.
Material proposals, risks and performance information should be questioned rather than accepted without scrutiny.
Important decisions, declarations, approvals and actions are recorded proportionately and retained appropriately.
Directors and relevant decision-makers are expected to declare interests and step back where appropriate. Decisions involving children, vulnerable people, data, artificial intelligence, funding conditions or significant reputational risk receive proportionate scrutiny and documented approval.
Income, assets and organisational capacity are used to advance the CIC’s purpose and sustainable public benefit. Commercial activity is a means of supporting the mission; it does not displace the needs of beneficiaries or the CIC’s legal responsibilities.
People should be able to question decisions, raise concerns or make a complaint without inappropriate disadvantage. Matters are recorded, directed to an appropriate person and escalated where independence, safeguarding or seriousness requires it.
